SERVICE AGREEMENT — GRAPHITE / CLIENTPAGE 4 OF 12

  1. § 4.1The Studio will deliver the Services described in Appendix A.
  2. § 4.2The Fee is fixed. Any change of scope requires a written addendum agreed by both parties before work begins.
  3. § 6.4The Client provides one decision-maker and timely feedback within 3 working days.
  4. § 7.1The Launch Date is binding. For each week of delay caused by the Studio, the Fee is reduced by 10%.
  5. § 8.2Weekly reviews are held every Thursday unless agreed otherwise.
  6. § 9.3For 30 days after launch the Studio fixes defects and answers questions at no charge.
  7. § 11.0All rights to code, design files and content transfer to the Client upon final payment.
  8. § 12.1Either party may terminate with 14 days written notice.
